  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by Negentropy Solutions or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Data

Subject to the terms of our service agreements, clients retain ownership of their data. We may use anonymized and aggregated data for analytical and improvement purposes, provided that no individual client data is identifiable.

5. Service Fees and Payment

Payment terms for our services include:

  • Service fees are as agreed upon in individual contracts
  • Payment terms are specified in project proposals and contracts
  • Late payments may incur additional charges
  • All fees are exclusive of applicable taxes

6. Project Deliverables and Timelines

Project timelines and deliverables are estimates and may be affected by factors such as client feedback, data quality, and unforeseen technical challenges. We will make reasonable efforts to meet agreed-upon deadlines but cannot guarantee specific timelines.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, client data, and trade secrets disclosed during the course of providing or receiving services. This obligation survives the termination of our agreement.

8. Data Protection and Security

We implement industry-standard security measures to protect client data. However, we cannot guarantee absolute security against all potential threats. Clients are responsible for maintaining appropriate data backups and security measures on their end.

9. Warranty and Limitation of Liability

9.1 Service Warranty

We warrant that our services will be performed in a professional manner and in accordance with industry standards. Any defects in our services will be corrected within a reasonable time period.

9.2 Limitation of Liability

In no event shall Negentropy Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Termination

Either party may terminate services with written notice. Upon termination:

  • All outstanding fees become immediately due
  • We will provide reasonable assistance for transition
  • Confidentiality obligations remain in effect
  • Client data will be returned or securely destroyed as agreed

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or government regulations.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Karnataka, India, with jurisdiction in the courts of Mysuru. For US clients, applicable state laws may apply to specific engagements.

13. Indemnification

You agree to indemnify and hold Negentropy Solutions harmless from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with any service agreements or contracts, constitute the entire agreement between you and Negentropy Solutions regarding the use of our services.
